Terms of service.
Welcome to The Pilates Project LLC, a global Pilates studio management and marketing company. These Terms and Conditions govern the relationship between The Pilates Project LLC (“we”, “our”, or “the Company”) and its clients (“you” or “Client”) and outline the rules and guidelines for your use of our services. By engaging our services, you agree to comply with and be bound by the following terms.
1. Service Overview
The Pilates Project LLC provides management and marketing services for Pilates studios internationally, including but not limited to:
• Studio operations consulting
• Marketing, advertising and social media management
• Brand development
• Booking services
• Client acquisition and retention strategies
• Website design and SEO optimization
• Instructor and staff training
• Sales and revenue optimization
2. Eligibility
By using our services, you represent and warrant that:
• You are at least 18 years old or have reached the age of majority in your jurisdiction.
• You have the authority to enter into a binding agreement on behalf of your studio or company.
• You are legally permitted to operate a Pilates studio or business in your jurisdiction.
3. Client Obligations
To provide our services effectively, you agree to:
• Provide accurate and up-to-date information about your business, including but not limited to operational, financial, and marketing data.
• Cooperate with our team and provide timely access to necessary resources, including any proprietary business information.
• Comply with all local, national, and international laws, including but not limited to health and safety regulations, advertising standards, and employment laws.
4. Fees and Payments
• All fees for our services will be outlined in a separate service agreement or contract. Payments are due based on the terms specified therein.
• Payment methods accepted: Visa, Mastercard, American Express, Wire Transfer, ACH Transfer.
• Late payments may be subject to interest charges at the rate specified in the contract.
• The Pilates Project LLC reserves the right to suspend or terminate services in the event of non-payment.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the relationship. Proprietary information includes but is not limited to business strategies, financial information, and client data.
Exceptions to confidentiality include:
• Information that is publicly available or becomes publicly available through no fault of either party.
• Information that is required to be disclosed by law.
6. Intellectual Property
The Pilates Project LLC retains ownership of all intellectual property created during the course of providing its services, including but not limited to marketing materials, website designs, brand assets, and training modules, unless otherwise agreed in writing.
The Client is granted a limited, non-exclusive license to use the intellectual property solely for the purpose of their business operations. This license is non-transferable and cannot be sublicensed without our consent.
7. Limitation of Liability
The Pilates Project LLC will not be liable for:
• Indirect, incidental, or consequential damages arising out of the use or inability to use our services.
• Any loss of revenue, profit, or business opportunities resulting from our services.
• Failure to achieve any specific business results unless expressly guaranteed in writing.
Our total liability is limited to the amount you have paid for services in the preceding three months.
8. Termination
Either party may terminate the service agreement at any time with 30 days’ written notice. Upon termination:
• All outstanding fees must be paid.
• All intellectual property created by The Pilates Project LLC must cease being used, unless otherwise agreed in writing.
• The Pilates Project LLC will provide any deliverables owed to the Client up to the date of termination.
9. Governing Law
These Terms and Conditions are governed by the laws of the State of Wyoming, United States. Any disputes arising from this agreement will be resolved in the courts of Wyoming.
10. Amendments
The Pilates Project LLC reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of any significant changes via email or through our website. Continued use of our services constitutes acceptance of the updated terms.
11. Force Majeure
Neither party will be held liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, labor disputes, war, pandemics, or government restrictions.
12. Entire Agreement
These Terms and Conditions, along with any service agreement or contract, constitute the entire agreement between The Pilates Project LLC and the Client and supersede any prior agreements or understandings, whether written or oral.
